1) Agreement to Terms
These Terms of Service (“Terms”) govern your use of yourdigitalbusinesspartner.com (the “Site”) and services provided by Your Digital Business Partner LLC (“Company,” “we,” “us,” or “our”). By using our Site or services, you accept these Terms in full.
2) Services
We provide digital business development services, including but not limited to LLC formation, branding, website development, advertising, CRM implementation, and consulting. All services are provided in accordance with mutually agreed statements of work or contracts.
3) Eligibility
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services.
4) Client Responsibilities
- Provide accurate, complete, and current information when requested.
- Cooperate with our team and provide timely feedback or approvals.
- Comply with all applicable laws, regulations, and third-party platform policies.
- Ensure that all content you provide does not infringe intellectual property rights or violate laws.
5) Payments & Revenue-Share
Unless otherwise agreed in writing, clients cover setup costs and monthly operational expenses. Our compensation is based on the revenue-share or flat-fee model outlined in your agreement. Payments are due as specified in your contract or invoice.
6) Intellectual Property
All intellectual property we create for you under contract is transferred to you upon full payment, unless otherwise specified. Our pre-existing materials, frameworks, templates, and proprietary tools remain our sole property.
7) Confidentiality
We will keep your confidential information secure and use it only for purposes of fulfilling our agreement. You agree to do the same with our proprietary information.
8) Disclaimers
Our services are provided “as is” and “as available.” While we strive for results, we make no guarantees regarding specific revenue, traffic, or sales outcomes.
9) Limitation of Liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, consequential, or punitive damages arising from the use of our services, even if advised of the possibility of such damages. Our maximum liability is limited to the amount paid to us in the 3 months preceding the claim.
10) Termination
Either party may terminate the agreement with written notice in accordance with the terms of the applicable contract. Provisions that should survive termination (e.g., confidentiality, payment obligations, IP ownership) will remain in effect.
11) Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws. Any disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida.
12) Changes to Terms
We may update these Terms at any time by posting a revised version on the Site. Continued use of our services after changes take effect constitutes acceptance of the updated Terms.
